Terms of Service
These terms are the agreement between you and ClipSpaces for use of the ClipSpaces website and application. By creating an account or using the service, you agree to them.

Who we are
ClipSpaces is provided by ClipSpaces, operated by Jefferson Asiamah, an individual based in Ghana. “We”, “us” and “our” mean that operator; “you” means the person or organisation using the service. The service is available at clipspaces.app.
The service
ClipSpaces is a browser-based visual workspace. You collect links, images, files, notes, drawings and embedded content onto an infinite canvas organised into named spaces, and you can share those spaces with other people. It is delivered entirely over the web — there is nothing to download and no physical goods are supplied.
The app is local-first: without an account it runs entirely in your browser and your boards are stored on your device. An account adds cloud storage, sync across devices, real-time collaboration and the hosted parts of the AI assistant.
Your account
- You must be at least 13 years old, and old enough to form a binding contract where you live, to create an account.
- Sign-in is passwordless — a one-time code sent to your email address. Keeping access to that mailbox secure is your responsibility, and anyone who can read it can reach your account.
- You are responsible for activity under your account and for the people you invite into your spaces.
- One account is for one person. You may not share credentials or resell access.
Plans & payment
Current plans and prices are on the pricing page, which forms part of these terms. In summary:
- Subscriptions renew automatically at the end of each billing period until cancelled. You authorise us and our payment processors to charge your payment method on each renewal.
- Cancel any time from Settings → Plans. Cancelling stops future charges; access continues to the end of the period already paid for, then the account reverts to the Free plan.
- Mobile money payments do not renew. They buy a fixed term that expires on its own.
- Refunds are covered by the refund policy — 30 days, no questions asked.
- Taxes. Prices exclude sales tax and VAT, which are added at checkout where they apply.
- Price changes apply from your next billing period, and we will email you at least 30 days beforehand. You can cancel before the new price takes effect.
- Non-payment. If a renewal fails, we retry for a short period and then return the account to the Free plan. Your content is not deleted for non-payment.
Payments are processed by Paddle or Paystack depending on where you are. Where Paddle is used it acts as merchant of record and is the seller on your invoice; its own buyer terms apply to the transaction alongside these terms. We never receive or store your card details.
Your content
You own what you put on your boards. We claim no ownership of your cards, notes, files, drawings or anything else you create or upload.
To operate the service, you grant us a limited, non-exclusive, royalty-free licence to store, transmit, back up and display your content — solely to provide ClipSpaces to you and the people you have shared with. This licence exists for hosting and nothing else: we do not use your content to train models, sell it, or show it to anyone you have not shared it with. It ends when you delete the content or your account.
You are responsible for ensuring you have the right to use and share what you upload.
Acceptable use
You agree not to use ClipSpaces to:
- Break the law, or infringe anyone’s intellectual property or privacy.
- Store or share malware, phishing content, or material that sexually exploits children.
- Harass, threaten, defame or impersonate people.
- Attack the service — probing, scraping at scale, circumventing limits or authentication, or overwhelming our infrastructure or that of the third-party services we fetch through.
- Resell, sublicense or white-label ClipSpaces, or use it to build a competing product from our own materials.
- Automate accounts to evade plan limits, including creating multiple free accounts for that purpose.
AI features
Clip AI is optional. When you use it, the contents of the space you are working in are sent to a model provider so it can answer and act on your board — see the privacy policy for exactly what travels where.
- Output is not guaranteed to be correct. Language models make things up. Check anything that matters before you rely on it, especially where the assistant has edited a board.
- The assistant can change your boards when you ask it to. Destructive actions ask for confirmation, and canvas changes can be undone, but you remain responsible for what you approve.
- Included AI is metered against the allowance on your plan, over a rolling window. Using your own API key is unmetered by us and billed to you by your provider under their terms.
- Allowances are for normal interactive use. We may throttle automated or abusive consumption.
Third-party services
ClipSpaces fetches and embeds content from other services — link previews, GitHub, maps, video, Notion, stock image providers — and can connect to accounts you authorise. Those services are governed by their own terms and we are not responsible for their content or availability. Disconnecting an integration removes the access we hold.
Our intellectual property
The ClipSpaces software, name, logo and design remain ours. These terms grant you a personal, non-transferable right to use the service; they transfer nothing else.
Availability & changes
We aim to keep ClipSpaces available and publish current status at /status, but the service is provided without an uptime guarantee. We may add, change or remove features; where a change materially reduces what a paid plan provides, we will tell you in advance and you may cancel and request a pro-rata refund of the unused period.
We may update these terms. Material changes will be announced by email or in-app at least 30 days before they take effect, and the date at the top of this page always reflects the current version. Continuing to use the service after that means you accept the new terms.
Suspension & termination
You may stop using ClipSpaces and delete your account at any time. We may suspend or terminate an account that materially breaches these terms — with notice and a chance to put it right, except where the breach is serious enough (illegal content, an active attack on the service) to require acting immediately. If we terminate your account without cause, we refund the unused portion of the period you have paid for.
Disclaimers
ClipSpaces is provided “as is”. To the fullest extent the law allows, we disclaim implied warranties of merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the service will be uninterrupted or error-free, or that AI output will be accurate. Nothing here limits rights you have as a consumer that cannot be waived under the law where you live.
Keep your own backups of anything you cannot afford to lose. ClipSpaces lets you export your boards, and you should.
Limitation of liability
To the fullest extent the law allows, we are not liable for indirect, incidental, special or consequential damages, or for lost profits, revenue or data. Our total liability for any claim relating to the service is limited to the greater of the amount you paid us in the twelve months before the claim, or US$50. These limits do not apply to liability that cannot be excluded by law, such as for fraud or death and personal injury caused by negligence.
Governing law
These terms are governed by the laws of Ghana, and the courts of Ghana have jurisdiction over disputes — without depriving you of the protection of mandatory consumer law in your country of residence. If any provision is unenforceable, the rest stays in force.
Before starting formal proceedings, please email us. Nearly everything is faster to fix that way.
